WARMLY / LEGAL
Terms & Conditions
Effective date: 10 October 2026
1. Website operator and scope
The WARMLY website is operated by Wuhu Dongxing Textile Industry Co., Ltd, a company established in China (“we”, “us” or “our”). WARMLY is our home textile brand and a trademark registered in Australia.
Our address is 2988 DONGWAN ROAD, WANZHI, WUHU CITY, ANHUI, CHINA.
These Terms describe permitted use of this website and its materials. Any enforceable agreement concerning website use is subject to applicable requirements for notice and acceptance. They do not replace a separately agreed sales contract or any rights that cannot lawfully be excluded.
2. Brand showcase and enquiries
This website is a brand showcase and digital product catalogue with facilities for general and business enquiries. It does not provide customer accounts, shopping carts, online checkout or payment processing.
Website content, catalogue entries and enquiry responses are invitations to discuss potential business opportunities unless a communication expressly constitutes an offer on stated terms. Submitting an enquiry does not place an order, reserve stock or create a binding purchase or supply contract.
Prices, minimum order quantities, availability, lead times, payment terms, shipping, warranties, returns and customisation conditions are determined through the relevant separate quotation, order confirmation or contract. A quotation’s own terms determine whether and how it may be accepted. These Terms do not prevent a binding agreement from being formed through a separately valid acceptance.
3. Product and website information
We aim to provide accurate and useful information. Product ranges, colours, sizes, materials, construction, packaging and availability may be updated. Displays, lighting and photography can affect how colours and textures appear.
Lifestyle or illustrative imagery may show styling ideas rather than the exact product, setting or items supplied. Images do not establish product dimensions or specifications. Before agreeing an order, confirm the relevant specifications with us; the specifications in the applicable written quotation, order confirmation or contract govern that transaction.
We may correct website errors. Such corrections do not unilaterally change an existing contract, excuse misleading representations, or remove rights under applicable law.
4. Enquiries and communications
Please provide accurate information and submit information about a business only where you are authorised to do so. Do not send unlawful content, unsolicited advertising, malicious files or information that infringes another person’s rights.
We may ask for clarification before providing a quotation. Receipt or acknowledgement of an enquiry is not acceptance of an order. We do not guarantee a particular response time or that every proposed project can be accepted.
Personal information is handled as explained in our Privacy Policy. These Terms do not constitute blanket consent to personal-information processing or international transfers.
5. Intellectual property
Website text, photographs, graphics, product-design materials and other content are owned by us or used under authorisation, except where otherwise identified. Relevant rights remain with their respective owners. WARMLY and third-party marks must not be used in a way that implies an unauthorised affiliation or endorsement.
You may view the website and make reasonable copies needed for personal reference or internal procurement evaluation, subject to applicable law and the catalogue conditions below. No ownership or broader licence is granted. Do not remove copyright or ownership notices, commercially exploit our content, or reproduce it in advertising, marketplaces or public materials without written permission.
The display of a third-party logo does not itself grant you permission to use that logo or establish that every product carries a certification. Ask us for confirmation of the scope and supporting documentation relevant to a particular product or project.
6. Catalogue downloads
You may download a catalogue and circulate necessary copies within your organisation solely for internal procurement evaluation. Preserve ownership notices and any relevant qualifications.
Unless we give written permission or applicable law allows it, do not sell the catalogue, publish or upload copies publicly, distribute it outside your organisation, extract its content for commercial reuse, or present it as your own material. You may share a link to the original website instead.
A catalogue is reference material and is not a binding quotation, guarantee of availability or sales contract.
7. OEM and private-label projects
OEM, private-label and custom-development projects require separate agreement on specifications, approvals, responsibilities and commercial terms.
If you supply trademarks, artwork, patterns, packaging or other materials, you must have the rights and permissions required for the proposed use and must not knowingly submit material that infringes third-party rights. We may request evidence of authorisation or decline material where concerns arise.
Ownership of newly developed designs, confidentiality, tooling, approvals and any liability allocation must be addressed in the relevant project agreement; submitting an enquiry does not settle those matters or transfer intellectual-property ownership.
8. External stores and websites
Links to eBay or other external services are provided for convenience. This website does not process transactions made on those platforms. The relevant platform rules, seller terms and transaction documents apply to those purchases, together with applicable law.
The identity of the seller should be checked on the external listing. These website Terms do not make an external sale a transaction with a particular entity or exclude obligations of the actual seller. We do not control third-party websites and cannot guarantee their continuing availability or content.
9. Acceptable use and availability
Do not attempt unauthorised access, interfere with security, introduce malicious code, impersonate another person, or use the website in ways that unlawfully infringe rights or materially disrupt its operation. Automated collection must not violate applicable law, access restrictions or intellectual-property rights.
We may maintain, update or suspend website features, and may restrict access reasonably necessary to address misuse or security issues. We cannot guarantee uninterrupted or error-free access. Changes to website access do not affect obligations under an existing separate contract.
10. Responsibility and statutory rights
Website information is intended for general product discovery and business discussions. Confirm relevant details before making a purchasing or project decision.
Nothing in these Terms excludes, restricts or modifies liability or rights that cannot lawfully be excluded, restricted or modified, including applicable consumer guarantees, rights relating to misleading conduct, or mandatory privacy protections. Where Australian Consumer Law applies, its non-excludable protections remain available.
Subject to those protections, we do not warrant uninterrupted access, the availability of third-party services, or the suitability of general website information for a particular project without further confirmation. Responsibility for a specific supply arrangement is determined by its separate agreement and applicable law. These Terms contain no blanket release of liability for our unlawful conduct.
11. Governing law and disputes
To the extent permitted by applicable law, these Terms and disputes concerning the use of this website are governed by the laws of the People’s Republic of China. For this clause, that means the laws applicable in mainland China.
The competent courts in Wuhu, Anhui, China have non-exclusive jurisdiction over such disputes. This does not prevent a person from bringing proceedings elsewhere where applicable mandatory law grants that right, or from relying on mandatory protections that apply irrespective of a choice of law.
Please contact us first if you wish to seek an informal resolution. This is an invitation to resolve concerns and does not impose a mandatory waiting period or limit your right to seek urgent relief or approach a regulator. A separate sales or project agreement may specify different governing-law or dispute-resolution terms for that agreement.
12. Changes and general provisions
We may revise these Terms for future website use by publishing an updated version and effective date. Material changes will be brought to users’ attention where legally required. Changes do not retrospectively alter accrued rights or an existing separate agreement.
If a provision is unenforceable, the remaining provisions continue to apply to the extent permitted by law. A failure to exercise a right does not automatically waive it. These Terms do not replace any separate confidentiality, quotation, supply or project agreement.
